DaySpire Terms of Use and End-User License Agreement

These terms are between you and SyncSpire Ventures Inc., the developer and authorized publisher of DaySpire, located in Québec, Canada. They apply to the DaySpire Mac application, this website, and DaySpire account and licensing services.
1. Acceptance
By downloading, installing, accessing, or using DaySpire, you agree to these terms. If you are using DaySpire for an organization, you confirm that you have authority to accept these terms for that organization. If you do not agree, do not install or use the software; follow the complete uninstall instructions if it is already installed.
2. Software license
Subject to these terms and any active trial, subscription, complimentary access, or signed offline authorization, SyncSpire Ventures Inc. grants you a limited, non-exclusive, non-transferable, revocable license to install and use DaySpire on Macs you own or control for your own internal work.
You may not sell, sublicense, redistribute, rent, or offer DaySpire as a service; remove proprietary notices; bypass licensing or technical limits; or reverse engineer the software except to the limited extent that applicable law expressly permits despite this restriction.
DaySpire includes third-party open-source components listed in the Third-Party Software Notices. Those components are governed by their own licenses, which control if they conflict with these terms. Nothing in these terms restricts rights granted by those third-party licenses.
DaySpire and its original software, design, branding, and documentation remain the property of SyncSpire Ventures Inc. You retain ownership of the content and work records you create or import.
3. Trial, billing, cancellation, and refunds
Local trial
The downloadable Mac app includes a 14-day local trial. It does not require an account or credit card and does not automatically create a paid subscription or charge you when it ends.
Paid subscription
DaySpire Pro is offered at USD $14.99 per month unless a different price is clearly shown to you before purchase. Stripe processes subscription payments. Applicable taxes and the exact amount and renewal date are shown in Stripe checkout before you confirm. A subscription begins only after you complete that checkout. If your account already has an active trial period, Stripe may show a later first billing date.
A paid subscription renews for successive monthly periods until cancelled. Price changes apply only after notice and as permitted by law.
Cancellation
To stop renewal, sign in to the DaySpire account portal, open Billing, choose Manage billing, and cancel through the Stripe portal. Stripe will display the effective cancellation date. Deleting DaySpire, removing local data, or stopping use does not by itself cancel a subscription. If you cannot access the portal, contact [email protected].
Refunds and billing problems
The local trial is free. Except where mandatory consumer law requires otherwise, paid subscription charges are non-refundable once the billed period begins. If you believe a charge is unauthorized, duplicated, incorrect, or otherwise eligible for a remedy, email [email protected] with the account email and Stripe invoice or receipt identifier. Do not send card numbers. Nothing in these terms limits refund, cancellation, or other rights that cannot legally be waived.
4. Local data, accounts, and privacy
DaySpire's work-content features operate from app-owned storage and local AI runtimes on your Mac. Account, license, update, download, and optional advertising-measurement functions can use the network as described in the Privacy Policy. Security boundaries and limitations are described in the Security Specifications.
You are responsible for deciding what to capture, obtaining any legally required consent from other people, reviewing records before relying on or exporting them, maintaining appropriate backups, and protecting access to your Mac and DaySpire account.
5. Acceptable use
You may not use DaySpire to violate law or another person's rights, record or monitor someone without required notice or consent, introduce malware, interfere with the service, probe or bypass security controls, or use the software to create deceptive, unlawful, or harmful records. DaySpire does not replace legal, accounting, clinical, employment, tax, or other professional judgment.
6. Availability, updates, and beta software
DaySpire may offer updates, model downloads, and beta or pre-release features. Features can change as the product develops. We work to keep the software available and secure, but do not promise uninterrupted or error-free operation. Older versions may eventually stop receiving updates or remain incompatible with newer macOS releases.
7. Warranty disclaimer and liability
To the maximum extent permitted by law, DaySpire is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. SyncSpire Ventures Inc. is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, business, data, or opportunities arising from use of DaySpire.
Where liability cannot be excluded, the total liability arising from DaySpire will not exceed the amount you paid for DaySpire during the 12 months before the event giving rise to the claim. These exclusions and limits do not apply where prohibited by law, including to any mandatory consumer rights.
8. Suspension and termination
You may stop using DaySpire at any time. We may suspend or end access to account or licensing services for material breach, fraud, abuse, security risk, or legal necessity. Sections concerning ownership, payment obligations already incurred, disclaimers, liability, and governing law survive termination.
9. Governing law and changes
Unless mandatory law requires a different result, these terms are governed by the laws of Québec and the applicable federal laws of Canada. Any mandatory protections available where you live remain unaffected.
We may update these terms when the product, law, or business changes. The current terms will remain public on this page with a revised effective date. Material changes apply prospectively as required by law.
